These Terms of Use ("Terms") govern your access to and use of the In The Groove Music website, music search and licensing platform, and related services (collectively, the "Services"), operated by In The Groove Music, LLC ("ITGM," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Who We Are

In The Groove Music is a boutique creative music agency offering catalog music licensing, custom composition, and sync services to advertising, film, television, and brand partners.

2. Accounts

Certain features of the Services, such as saving playlists, requesting stems, or requesting a quote, require creating an account. You agree to provide accurate information, keep your login credentials confidential, and accept responsibility for all activity under your account. Notify us immediately at hello@itgmusic.com if you suspect unauthorized use of your account.

3. Using the Music Search Platform

Streaming previews, waveforms, and metadata available through our search tools are provided so you can evaluate tracks for a potential project. Previewing or downloading a preview file does not grant you any license to use a track in a production, publication, or public-facing project. A track may only be used in a project once you and ITGM have executed a separate license agreement and, where applicable, payment has been received in full. The specific rights granted for any track — territory, term, media, exclusivity — are governed exclusively by that license agreement, not by these Terms.

4. Acceptable Use

When using the Services, you agree not to:

• Use any track, stem, or other content beyond the scope of a license you've been granted;
• Redistribute, resell, sublicense, or share catalog files with anyone outside your organization or licensed production;
• Attempt to circumvent, disable, or interfere with security features of the Services, including scraping or bulk-downloading the catalog;
• Use the Services for any unlawful purpose or in violation of any applicable regulation; or
• Upload or submit content (including reference videos or briefs) that you don't have the right to share with us.

5. Intellectual Property

All music, recordings, compositions, artwork, and other content made available through the Services are owned by ITGM, its composers, or its licensing partners, and are protected by copyright and other intellectual property laws. Except for the limited rights expressly granted under a separate license agreement, no rights are transferred to you by these Terms. The ITGM name, logo, and website design are also our property and may not be used without permission.

6. Submissions

If you submit music, a demo, or other materials to us (for example, through composer or artist submissions), you confirm that you own or control the necessary rights to share those materials with us, and you grant us permission to review and evaluate them for potential representation or licensing opportunities.

7. Third-Party Services and Links

Our Services may link to or rely on third-party platforms (for example, payment processors, cloud storage, or streaming infrastructure) that are not operated by us. We are not responsible for the content, policies, or practices of any third-party services.

8. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, ITGM will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Services, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Services will not exceed the amount you paid to us, if any, in the twelve months preceding the claim.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you've violated these Terms. You may stop using the Services and close your account at any time by contacting us.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above. Continuing to use the Services after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles, and any dispute arising from these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Minnesota.
